If we have a previous version of MIVA is there a way we can upgrade at no cost? From what I have read this new version of MIVA is more customizable and xhtml compliant.

Does anyone experienced with Miva know if when you upgrade, do you have to start all over with products and look and feel and headers and that kind of stuff or do you just seamlessly get exciting new features?

As far as the update from 4.x - 5 is concerned, Miva does provide a module that will export your old store settings so that you may import them into your new store.

Depends. Do you use the OpenUI? If so, your admin will be downgraded. I believe with OpenUI's import/export of UI databases, you can backup OpenUI settings, switch to MMUI and then do the upgrade. Features available in MMUI should have their fields complete. OpenUI features will be lost forever. Just a theory.
